Key Responsibilities
Listed Entity & SEBI Compliances
- Ensure end-to-end compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
- Manage all periodic and event-based stock exchange filings with NSE/BSE within prescribed timelines.
- Ensure compliance with SEBI (Prohibition of Insider Trading) Regulations, including maintenance of Structured Digital Database (SDD), trading window management, UPSI controls, and insider disclosures.
- Coordinate publication of financial results, annual reports, corporate governance reports, shareholding patterns, and other statutory disclosures.
- Support investor relations activities and respond to regulatory queries from stock exchanges, SEBI, NSDL/CDSL, RTA, and other authorities.
- Monitor changes in SEBI regulations and advise management on compliance requirements.
Secretarial & Corporate Governance
- Organize and manage Board Meetings, Committee Meetings, and General Meetings.
- Prepare agendas, notices, board papers, minutes, and resolutions in accordance with the Companies Act and Secretarial Standards.
- Maintain statutory registers, minutes books, and secretarial records.
- Ensure compliance with Secretarial Standards (SS-1 & SS-2) issued by ICSI.
- Coordinate with Independent Directors, Board Committees, and senior management on governance matters.
- Assist in Board evaluation, director appointments, reappointments, resignations, and related compliances.
SPV Compliance Management
- Manage secretarial compliances for multiple SPVs across the CleanMax group.
- Ensure timely Board Meetings, Annual General Meetings, ROC filings, and statutory record maintenance for all SPVs.
- Coordinate with finance, legal, tax, and business teams to ensure statutory compliance across entities.
- Track compliance calendars and ensure adherence to all regulatory timelines.
- Support incorporation, restructuring, mergers, liquidation, and closure of SPVs as required.
ROC & Companies Act Compliances
- Ensure timely filing of forms and returns with the Registrar of Companies (ROC).
- Manage annual filings, director-related filings, charge creation/modification/satisfaction, and event-based compliances.
- Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
Corporate Actions & Compliance
- Support implementation of corporate actions including issue of securities, ESOPs, preferential allotments, rights issues, bonus issues, buybacks, and dividend-related compliances.
- Coordinate with Depositories, Registrar & Share Transfer Agent (RTA), merchant bankers, auditors, and legal advisors for corporate actions.
- Assist in due diligence exercises, fundraising transactions, and strategic corporate initiatives.
Compliance Monitoring & Audit
- Develop and maintain compliance trackers and governance dashboards.
- Coordinate Secretarial Audit, Internal Audit, and regulatory audits.
- Support preparation of Board Reports, Corporate Governance Reports, Business Responsibility & Sustainability Reporting (BRSR), and Annual Report disclosures.
- Identify compliance risks and recommend process improvements and governance best practices.
Required Skills
- Strong knowledge of Companies Act, 2013, SEBI LODR Regulations, SEBI PIT Regulations, FEMA, and Secretarial Standards.
- Hands-on experience in listed company compliances and corporate governance.
- Experience managing compliances for multiple group entities/SPVs.
- Excellent drafting skills for Board notes, minutes, resolutions, and regulatory filings.
- Strong stakeholder management with the ability to interact with senior leadership, directors, auditors, legal advisors, and regulators.
- High attention to detail with strong planning and organizational skills.
- Proficiency in MS Office and secretarial compliance software.
Preferred Experience
- 4–7 years of post-qualification experience in a listed company or a large corporate group.
- Exposure to renewable energy, infrastructure, power, or project-based organizations will be an added advantage.
- Experience in IPO/post-listing compliances, corporate restructuring, and fundraising transactions is preferred.
