Corporate Attorney – Timonium/Baltimore, MD | 3–7 Years of Experience
Offit Kurman is seeking a Corporate Attorney with 3–7 years of experience to join our growing Business Law & Transactions practice in Timonium/Baltimore, MD.
The ideal candidate will have a strong corporate and transactional background with experience advising privately held companies and business owners on a broad range of matters. This is an excellent opportunity for an attorney looking to work on sophisticated transactions while maintaining a diverse corporate practice.
Key Responsibilities:
- Represent clients in buy-side and sell-side M&A transactions
- Advise clients on equity and debt financings and other corporate transactions
- Draft, review, and negotiate purchase agreements, commercial contracts, and related transaction documents
- Counsel early-stage and growth companies on entity formation, funding strategies, corporate governance, and commercial agreements
- Advise closely held businesses on general corporate and day-to-day business matters
- Serve as outside general counsel to private companies across a variety of industries
- Manage transactions from initial structuring and due diligence through closing
- Work directly with business owners, executives, and other key stakeholders
Qualifications:
- 3–7 years of relevant corporate/transactional experience
- Meaningful experience with M&A and general corporate matters
- Strong drafting, negotiation, and analytical skills
- Experience working directly with private-company clients preferred
- Excellent communication and client-service skills
- Maryland Bar admission required
