About this role

Quantum-Si is seeking an experienced, business-oriented Vice President, Legal to lead the company’s day-to-day legal function and provide practical legal support across corporate, commercial, employment, intellectual property, securities, governance, regulatory, and compliance matters. Reporting to the Chief Financial Officer, this individual will work closely with executive leadership, outside counsel, and cross-functional teams to support the company’s public company obligations, commercial operations, IP portfolio, and business initiatives, including identifying and managing legal risk, and ensure compliance with applicable laws and regulations.

This role requires a practical, collaborative attorney who can balance legal considerations with business needs in a fast-paced, publicly traded life sciences environment.

As part of our team, your core responsibilities will be:  

  • Lead the company’s day-to-day legal function and serve as a practical legal business partner to the executive leadership, and cross-functional teams.
  • Coordinate management of the company’s patent and trademark portfolio with internal stakeholders and external IP counsel, including invention disclosures, prosecution support, portfolio maintenance, and freedom-to-operate considerations.
  • Provide practical, risk-balanced legal advice on corporate, commercial, employment, intellectual property, governance, securities, regulatory, and compliance matters.
  • Support public company compliance and manage corporate governance processes, including preparation for Board and committee meetings, corporate records, disclosure matters, insider trading compliance, governance policies, and related reporting obligations, in coordination with the CFO and outside counsel.
  • Support securities law compliance, disclosure controls, insider trading compliance, and corporate governance best practices in partnership with Finance and external counsel.
  • Draft, review, negotiate, and oversee a broad range of commercial agreements, including customer, supplier, licensing, research, technology, and strategic partnership agreements.
  • Partner with Finance, Human Resources, Operations, Research & Development, Commercial, Quality, and other teams to support business initiatives and operational execution.
  • Support and improve compliance programs, policies, training, and processes to promote adherence to applicable laws, regulations, and internal policies.
  • Manage litigation, disputes, claims, and government inquiries while coordinating external legal resources as appropriate.
  • Maintain and improve legal processes, templates, policies, training, and contract management practices to support efficient business operations.
  • Support strategic transactions, financings, partnerships, acquisitions, and corporate development activities as needed.
  • Coordinate with external counsel on securities, governance, intellectual property, employment, litigation, regulatory, and other specialized legal matters.
  • Manage outside counsel relationships and legal budgets to ensure efficient and cost-effective legal support.

Qualifications 

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • 7+ years of legal experience, preferably including in-house experience with a public company or experience advising public company clients.
  • Demonstrated ability to provide practical legal advice to senior business leaders and cross-functional teams.
  • Experience coordinating patent portfolio management with external counsel and internal technical stakeholders.
  • Strong knowledge of corporate governance, securities laws, commercial transactions, and risk management.
  • Experience supporting a publicly traded company or advising public company clients.
  • Proven ability to negotiate and structure complex commercial agreements.
  • Excellent business judgment and ability to provide practical, solution-oriented advice.
  • Exceptional communication, relationship-building, and influencing skills.
  • Ability to operate effectively in a dynamic, fast-paced, and highly collaborative environment.

Preferred Qualifications

  • Experience in biotechnology, life sciences, diagnostics, medical device or other highly regulated industries.
  • Experience supporting SEC reporting, public company governance, and Board activities.
  • Experience supporting strategic transactions, financings, partnerships, acquisitions, or corporate development initiatives, as needed.

The estimated base salary range for this position in the United States is $275,000 - $315,000. In addition to base salary, full-time employees are eligible to participate in Quantum-Si's discretionary annual bonus program and may receive equity awards as part of the total compensation package.

Actual compensation will be determined based on a variety of factors, including, but not limited to, the position level, relevant skills, knowledge, experience, qualifications, geographic location, internal equity, and market data.
