Associate Legal Counsel

Job Summary:

We are seeking an experienced and business-oriented in-house Counsel to serve as a strategic partner to our growing India IT office, which supports enterprise-wide initiatives, as well as the opportunity to engage with other legal interests of the Tyson Foods enterprise in the market and region.  This role will partner closely with regional and global stakeholders to provide comprehensive legal support across commercial transactions, human resources, regulatory compliance, and corporate governance.

The ideal candidate will bring deep expertise in commercial contracting (including SaaS and IT agreements), employment and labor law, and regulatory risk management, while operating effectively in a fast-paced, multinational environment.

Essential Duties and Responsibilities:

1. Transactional & Commercial Support

• Draft, review, and negotiate a wide range of agreements, including vendor, procurement, and lease contracts
• Support IT-related transactions, including SaaS and technology agreements, in collaboration with global contracts and legal teams
• Provide practical, risk-based legal advice to business stakeholders on commercial arrangements and coordinate closely with US-based stakeholders to ensure strict alignment with enterprise expectations on integrated solutions

2. Human Resources & Employment Law

• Draft and review employment agreements, HR policies, and vendor contracts relating to recruitment and benefits
• Advise on labor law compliance and HR programs (e.g., pay transparency, incentive plans, and benefits structures)
• Manage legal aspects of employee lifecycle events, including retrenchment, terminations, disciplinary actions, and clawbacks
• Respond to legal notices, labor disputes, and employment-related claims
• Provide legal oversight to ensure fairness and defensibility in performance management and disciplinary processes

3. Regulatory Change Management

• Monitor evolving regulatory and political developments impacting business operations in India
• Advise on implementation of new laws and regulations, ensuring timely compliance
• Partner with cross-functional teams to embed regulatory requirements into business processes

4. Corporate Governance & Entity Management

• Support corporate governance matters, including board processes, resolutions, and statutory compliance
• Oversee entity management, filings, and maintenance of corporate records
• Ensure adherence to internal governance policies and local legal requirements

5. Dispute Management & External Coordination

• Coordinate with external counsel on disputes, regulatory matters, and specialized legal issues
• Support dispute resolution strategies, including litigation and alternative dispute mechanisms
• Act as a key in-office legal resource, collaborating with the Asia Head of Legal and U.S.-based subject matter experts

Education:

• Bachelor’s or Master’s degree in Law (LLB/LLM) from a recognized institution
• Qualified Company Secretary (CS) preferred

Work Experience: 

• Minimum 8 years of post-qualification legal experience, ideally in-house or with a top-tier law firm supporting multinational clients
• Strong expertise in:
  • Commercial contracting (including SaaS/technology agreements)
  • Corporate governance and entity management
  • Labor and employment law in India
  • Regulatory compliance and risk mitigation
