What you'll do

  • Draft, review, revise, negotiate, and manage commercial and corporate agreements.
  • Review client, vendor, employment, partnership, licensing, and other business agreements.
  • Ensure contracts comply with applicable laws, regulations, company policies, and business objectives.

Surefox North America Inc is a veteran owned company that prides itself on creating a diverse and unique culture of trained and talented individuals. We are seeking a General Counsel Counsel with a contracts focus to provide strategic and practical legal counsel to the organization, with primary responsibility for commercial contracting and support of the company’s broader corporate legal needs.

This position serves as a trusted legal advisor to executive leadership and business stakeholders, providing guidance on contracts, legal risk, compliance, corporate transactions, labor and employment matters, litigation, and other legal issues affecting the organization.

The position is responsible for ensuring that company contracts and business activities comply with applicable laws, regulations, licensing requirements, contractual obligations, and internal policies while protecting the organization’s legal and commercial interests.

Work location: Sunnyvale, CA (on-site)
Annual Salary Range: $200,000.00 - $250,000.00

This position is on-site at our Sunnyvale office.

Essential Duties and Responsibilities:

Contract Management & Commercial Legal Support

  • Draft, review, revise, negotiate, and manage commercial and corporate agreements.

  • Review client, vendor, employment, partnership, licensing, and other business agreements.

  • Ensure contracts comply with applicable laws, regulations, company policies, and business objectives.

  • Identify contractual risks and develop appropriate mitigation strategies.

  • Advise business leaders regarding contractual obligations, rights, remedies, liabilities, and other legal considerations.

  • Create and amend client and vendor contracts.

  • Support strategic and complex corporate transactions, including partnerships, joint ventures, mergers, acquisitions, and dispositions.

  • Coordinate with outside counsel and other advisors as necessary.

  • Ensure legal expenses and outside counsel activities are managed effectively and within established budgets.

Corporate & General Legal Counsel

  • Provide strategic and tactical legal advice to executive leadership, management, the Board of Directors, and other stakeholders.

  • Provide legal guidance on corporate law, contracts, labor and employment, privacy, ethics, investigations, compliance, regulatory matters, and business initiatives.

  • Monitor changes in applicable laws, regulations, case law, and licensing requirements and proactively communicate relevant developments.

  • Develop proactive and defensive legal strategies to address business risks.

  • Represent or support the company in legal proceedings, negotiations, and interactions with regulatory or governmental agencies.

  • Manage or assist with litigation and potential litigation.

  • Advise management on the legal implications of company policies, programs, transactions, and strategic initiatives.

Compliance & Risk Management

  • Manage and support legal compliance and risk-management activities.

  • Conduct or support compliance audits.

  • Provide guidance regarding applicable laws, regulations, licensing requirements, and company policies.

  • Identify emerging legal risks and develop practical mitigation strategies.

  • Partner with internal departments to resolve legal and compliance matters.

  • Support ethics and compliance activities, including investigations, interviews, and witness statements.

  • Promote a culture of ethical conduct, compliance, accountability, and sound business judgment.

Labor & Employment

  • Provide legal advice and guidance regarding labor and employment matters.

  • Advise Human Resources and business leaders regarding employment-related policies, practices, agreements, disputes, and regulatory requirements.

  • Assist with the identification and mitigation of employment-related legal risks.

Organizational Collaboration

  • Establish priorities and manage legal workloads in alignment with organizational objectives.

  • Collaborate with Compliance, Human Resources, Finance, Operations, and other departments.

  • Resolve conflicts and provide practical solutions to complex legal and organizational issues.

  • Balance legal risk with business objectives, profitability, employee considerations, client relationships, vendor relationships, and company values.

Required Qualifications

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.
