Salary for the candidate will be determined taking into consideration a number of factors including: experience, skills, qualifications, anticipated contribution to role, internal equity, etc. The salary range presented below is based on a 35-hour workweek and would represent a majority of different candidate profiles. However, we encourage candidates who may fall outside of this range to apply as well.

Salary range (but not limited to):

59,300 - 72,500

 

About the role

We’re looking for a Corporate Law Clerk to join our team for a maternity leave replacement. 

What you’ll do here:

  • Draft or review corporate documents in connection with various acquisition, merger, financing, and corporate and tax reorganization mandates, including incorporation, organization, articles of amendment, merger, liquidation, and dissolution documents. This includes, for example, various agreements, closing agendas, resolutions, share capital documents, and other corporate documents required in connection with these transactions.
  • Conduct due diligence, including: (i) searches of public registries; (ii) reviewing minute books; (iii) drafting or reviewing resolutions to rectify corporate records; (iv) reviewing material contracts; (v) analyzing the results; and (vi) preparing due diligence reports.
  • Draft or review various resolutions relating to updating minute books, declaring dividends, purchasing and redeeming shares, carrying out internal financings, and implementing other corporate changes. 
  • Make entries in corporate registers.
  • Conduct doctrinal, case law, and legislative research.
  • Prepare corporate organizational charts and dashboards.

 
What you bring to the table:

  • Successful completion of an accredited Law Clerk program, or any combination of equivalent education and experience.
  • Significant (minimum 2 years) experience in corporate, transactional and/or financing in a law firm or sophisticated corporate environment.  
  • Strong computer skills including MS Office (Word, Excel, PowerPoint Outlook) are essential and knowledge of iManage and MinuteBox will be considered an asset.
  • Strong time management skills and the ability to prioritize and organize work while effectively managing multiple tasks with conflicting deadlines.
  • Excellent judgment, analytical thinking and research skills and ability to assess situations, interpret and apply legislation, and recommend appropriate action.
  • Can work well independently and as part of a multidisciplinary team in a fast-paced, high work volume environment.
  • Self-motivated individual that takes initiative and has excellent problem-solving skills.
  • Excellent interpersonal and communication skills (written and oral).
  • Bilingual (French and English): Need to interact on a regular basis with English-speaking counterparts and colleagues across the country.
