Legal Counsel - Group Corporate & Operations

Position Overview

The Legal Counsel will provide strategic legal support to the Group's operations across Greece, Luxembourg and other jurisdictions where the Group operates, advising senior management and business stakeholders on a broad range of legal and regulatory matters, with particular emphasis on corporate governance, corporate affairs, and legal support for Finance and HR operations across the Group's subsidiaries and affiliated entities worldwide.

Key activities and responsibilities:

    • Offering strategic legal counsel to senior management and other stakeholders on a broad range of legal and regulatory matters;
    • Ensuring the company adheres to all applicable laws and regulations, including those related to corporate governance, finance, employment and industry-specific requirements;
    • Managing corporate governance and corporate housekeeping matters for the Greek and Luxembourg entities and coordinating corporate legal affairs across the Group's subsidiaries and affiliated companies worldwide, including board and shareholder matters, corporate records, powers of attorney and coordination with external counsel;
    • Drafting, reviewing and negotiating day-to-day commercial and corporate agreements, including employment agreements, freelance contracts, confidentiality agreements, terms and conditions, non-competition agreements, NDAs and DPAs for the Group's entities worldwide;
    • Drafting, negotiating and supporting the performance of public procurement contracts, ensuring that the company's interests are adequately protected;
    • Drafting and reviewing legal documents, pleadings and other documents to be submitted before courts and administrative authorities;
    • Providing legal support in public procurement procedures;
    • Managing litigation matters, including coordinating and supervising external counsel in Greece and other jurisdictions;
    • Reviewing and updating employee handbooks, codes of conduct, internal policies and corporate compliance documentation;
    • Monitoring legal and regulatory developments affecting the Group's operations across multiple jurisdictions and advising the business on legal risks and compliance requirements.

Requirements

    • University Degree in Law and membership of a Greek Bar Association;
    • At least 5-8 years of professional experience as a lawyer, preferably in an international corporate environment or a leading law firm;
    • Demonstrated experience in corporate law and corporate governance, including management of multinational corporate structures and coordination of cross-border corporate matters;
    • Excellent written and verbal communication skills in Greek and English;
    • Excellent command of the French language;
    • Excellent knowledge of Microsoft Office applications;
    • Strong legal drafting, analytical, negotiation and problem-solving skills;
    • An LL.M. or professional experience in one or more of the following areas will be considered an asset: EU law, corporate law, public procurement law, employment law and commercial contract law;
    • Litigation experience will be considered an advantage;
    • Ability to work independently, manage multiple priorities and collaborate effectively within a fast-paced international environment;
