What you'll do
- Reviews the company's key corporate approvals (resolutions of the general shareholders’ meetings, board of directors’ resolutions) and other corporate documents (powers of attorney, statements) for the company and its subsidiaries
- Coordinates, files and follows through the registration of corporate changes with the Trade Registry, and represents the company and its subsidiaries before it
- Keeps the company and its subsidiaries on track with every corporate legal obligation, on time
- Stays on top of the latest changes in corporate legislation and issues legal opinions that guide the business through corporate matters
- Coordinates and guides the legal departments of the company’s subsidiaries in Hungary and Bulgaria
- Drafts/reviews corporate documents (corporate body decisions, powers of attorney, statements) for foreign subsidiaries
- Coordinates various material projects for foreign subsidiaries
- Drafts and reviews the non-disclosure agreements and early-stage documents (letters of intent, non-binding offers) that shape M&A deals, and researches specific legal matters as they come up
- Leads the legal due diligence behind potential acquisitions, mergers, joint ventures or divestitures, and drafts, reviews and negotiates the transaction documents that bring a deal together – term sheets, share purchase/sale agreements, shareholders’ agreements, merger plans, ancillary agreements
- Coordinates external counsel, financial, tax and other advisors involved in M&A transactions, while identifying and mitigating the legal risks along the way
- Ensures M&A deals stay aligned with competition/antitrust merger control requirements, supports post-closing integration (restructuring, governance alignment, contract novation), and stays current with the evolving M&A legal framework

- Fluent in English
- A strong negotiator
- Skilled at planning and prioritizing workloads to consistently meet deadlines
- Confident and comfortable navigating a dynamic, fast-moving environment
- Strong interpersonal skills, with effective verbal and written communication
- Highly organized, analytical and focused, even when things move fast

Legal Manager – Corporate, International and M&A

What you’ll have to do:
Corporate:
- Reviews the company's key corporate approvals (resolutions of the general shareholders’ meetings, board of directors’ resolutions) and other corporate documents (powers of attorney, statements) for the company and its subsidiaries;
- Coordinates, files and follows through the registration of corporate changes with the Trade Registry, and represents the company and its subsidiaries before it;

What Will Tou Bring to the Table?
