Legal Counsel, Capital Markets

Vista Legal enables outcomes rather than simply controls risk. This role would suit a technically strong lawyer who is commercially fluent, clear and direct with senior stakeholders, and motivated to deliver innovative transactions with real autonomy and ownership.

• Support and advise on a broad range of English and New York law-governed debt capital markets transactions, including unsecured, high-yield bond issuances, term loans, structured credit facilities and related financing arrangements.
• Support equity activities, including assisting on disclosure, reporting and securities law compliance.
• Provide advice on ongoing covenant compliance obligations and monitor developments in relevant regulatory frameworks.
• Advise on engagement with securities regulators and relevant authorities.
• Support Corporate, Treasury and Accounting teams in relation to audit processes and other financial matters with legal implications.
• Contribute to the development and maintenance of Vista Legal's precedents, playbooks, training materials and knowledge management systems.

• England & Wales or New York qualified lawyer.
• 4-8 years PQE, with experience at a leading international law firm.
• Strong debt capital markets experience.
• Proven ability to independently manage transactions from inception to closing.
• Excellent drafting, negotiation, and stakeholder management skills.
• Experience working directly with investment banks and external counsel.

Nice to have 

• An interest in the aviation industry.
• Experience working on both English and New York law-governed documentation.
• Prior in-house or secondment experience.
• Experience on equity transactions, including private equity raises and/or equity capital markets transactions. 
• Issuer-side experience is welcomed.
