Overview of the role:

Saputo Inc. is seeking a Legal Counsel, Mergers & Acquisitions who will be based out of our Corporate Head office in Montreal. Reporting to the Executive Vice President, Legal Affairs, the selected lawyer will join and collaborate with a dynamic team of highly skilled business and legal minds on Saputo’s M&A and related financing files. In this role, you will be involved across all stages of the transaction lifecycle while contributing to developing effective strategies with the Company’s corporate development team, and supervising the work of external counsel.

Accretive M&A is a cornerstone of the Company’s growth strategy. Since Saputo completed its initial public offering in 1997, the Company has a successful track record with 36 acquisitions completed and approximately CDN$9.3 billion invested to expand operations in Canada, the US, Australia and the United Kingdom.  This is a unique opportunity to develop both legal and commercial expertise in a fast-paced environment and gain exposure to complex cross-border transactions.

Possibility of working remotely one day per week.

How you will make contributions that matter:

  • Engage across all phases of a diverse range of strategic transactions from a legal perspective, supporting both the corporate development group with acquisitions and divestitures across multiple jurisdictions, and the treasury function with related financing arrangements

  • Support the acquisition strategy and contribute in meetings with the leadership team

  • Collaborate on legal due diligence efforts and coordinate with internal and external teams

  • Participate in the preparation and the negotiation of complex agreements and an array of commercial documentation

  • Participate in the implementation of transactions and support  post-closing integration activities

  • Carry out multiple other responsibilities related to this role or any emerging new priorities

You are best suited for the role if you have the following qualifications:

  • Two (2) to Five (5) years of relevant transactional experience, acquired either in a national law firm or in a large acquisition-focused organization

  • Bachelor of Laws (LL.B.), Juris Doctor (J.D.), or an equivalent law degree required. Must be licensed to practice law in Canada or the United States

  • Excellent analytical skills and strong business instinct, with great attention to detail

  • Pragmatic, particularly with respect to determining the significance of legal risks and balancing legal and business necessities

  • Efficient, proactive and organized, with the ability to work under pressure, manage priorities and handle multiple sensitive projects simultaneously in a dynamic environment

  • Professional, with high standards of integrity and rigorous ethical principles

  • Excellent interpersonal skills, including the ability to communicate clearly and effectively within the legal team, and with other internal departments, international business partners and external counsel in English and French
