  • Support the administration of insider trading compliance processes, including advising on blackout periods and trading rules.
  • Support and assist with review and filing of quarterly earnings releases, investor presentations, and other public communications, including in compliance with Reg FD and non-GAAP rules.
  • Support the communications team in disclosure matters, including review of press releases, with advice and guidance on compliance with applicable law.
  • Support capital markets and corporate transactions, such as M&A, equity investments, and equity and debt financings and related diligence, including preparing documentation and advising internal clients.
  • Support the development and implementation of best practices in corporate governance, ensuring compliance with applicable laws, regulations, and listing requirements.
  • Support the planning and execution of the Company’s annual stockholders meeting.
  • Support the preparation and distribution of materials for Board and committee meetings, including preparing resolutions, minutes, presentations, and consents and compiling and posting meeting materials.
  • Support the efficient and accurate management of corporate records, documents, and filings, and establish and maintain effective processes and systems to support compliance with legal and regulatory requirements.

Job Summary

Medline is seeking a Legal Counsel, Securities to be responsible for supporting the complete spectrum of corporate and securities compliance matters, including preparation and filing of Forms 8-K, 10-Q, and 10-K, registration statements, proxy statements, and Section 16 filings; assisting with the Company’s governance policies and documents and matters related to the Board of Directors; and advising on corporate governance and investor disclosure matters.

As a key member of the Company’s Securities Legal team, this attorney will provide practical, business-focused guidance on an array of matters related to securities and corporate governance, collaborating closely with the Deputy General Counsel and Corporate Secretary; Senior Counsel, Securities and Corporate Governance; Counsel, Executive Compensation and Benefits; and the Company’s corporate accounting, finance, external reporting, internal audit, treasury, investor relations, and communications teams.

Job Description

Securities and Corporate Legal:

  • Support global corporate initiatives and subsidiary management, including preparing and reviewing organizational and other documents. 

 

MINIMUM JOB REQUIREMENTS 

Education  

Juris Doctor granted by an accredited law school. 

Certification / Licensure 

Member of a state bar in good standing. Ability to become licensed in the State of Illinois if not already.  

Work Experience 

At least 4 years of strong experience practicing securities and corporate governance at a major law firm or public corporation.

  • Excellent business and legal judgment with the ability to make decisions and give practical advice that demonstrates an understanding of overall business objectives and the balance of risks and rewards in complex situations. 

  • Excellent communication and presentation skills, both verbal and written, including the ability to present complex topics in a concise and understandable manner and to collaborate with a range of partners. 

  • Ability to stay well-informed of emerging legal developments, market trends and practices, and risks related to public disclosures and corporate governance and eager to learn new areas of law. 

  • Strong interpersonal and organizational skills, attention to detail, and ability to thrive in a fast-paced environment. 

  • Proactive personality, committed to understanding the industry and the company’s business.

The anticipated salary range for this position:

$154,000.00 - $231,000.00 Annual

The actual salary will vary based on applicant’s location, education, experience, skills, and abilities. This role is bonus and/or incentive eligible. Medline will not pay less than the applicable minimum wage or salary threshold.
